Terms of Service
1. Acceptance of Terms
By accessing and using the services of Delo Capital LLC (d/b/a CloutProfit) ("we," "us," "our"), you agree to comply with and be bound by the following terms and conditions ("Terms of Service").
2. Services Provided
We offer consulting services in Marketing and Sales. The scope, deliverables, and timelines of our services will be outlined in a separate agreement specific to each project.
3. User Responsibilities
- Users must provide accurate, current, and complete information as required for the provision of our services.
- Users are responsible for maintaining the confidentiality of any login information and for all activities that occur under their account.
4. Fees and Payment Terms
- Fees for our services will be detailed in the project agreement.
- Payments are due as specified in the agreement. Late payments may incur additional charges.
- All fees are non-refundable unless otherwise stated in the agreement.
5. Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the project.
- Confidential information will not be shared with third parties without prior written consent.
6. Intellectual Property Rights
- All intellectual property rights related to the services provided remain with Delo Capital LLC (d/b/a CloutProfit) indefinitely.
7. Limitation of Liability
- Our services are provided on an "as is" and "as available" basis. We do not warrant that our services will be uninterrupted or error-free.
- Delo Capital LLC (d/b/a CloutProfit) will not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use our services.
- Our liability is limited to the amount paid by the client for the specific project.
8. Termination
- Either party may terminate the agreement with written notice if the other party breaches any of these terms.
- Upon termination, the client will be responsible for paying for all services rendered up to the date of termination.
9. Governing Law
- These Terms of Service are governed by and construed in accordance with the laws of the United States of America.
- Any disputes arising out of these terms will be resolved in the courts of the United States of America.
10. Modifications to Terms of Service
- We reserve the right to modify these Terms of Service at any time.
- Users will be notified of any significant changes to the terms.

Effective September 20, 2026. This section applies to the CloutProfit Giveaway SMS program operated by Delo Capital LLC (d/b/a CloutProfit).
What you receive. The program delivers the guide or resource you request by text. If you also select marketing follow-ups, it schedules four promotional texts over the next week about CloutProfit content, training and business support. Additional team replies depend on your conversation and requests. Message frequency varies.
Your choices. Guide delivery and promotional follow-ups are separate, optional choices. Both SMS checkboxes are unchecked by default. You can submit the giveaway form and view the guide without selecting either checkbox. Marketing consent is not a condition of purchasing any product or service. You can also open the guide directly without requesting SMS. Provide only a number you own or are authorized to use, and tell us if that number changes.
Stop or get help. Reply STOP to stop texts from the sending number. You may receive a final confirmation of your opt-out. Reply HELP for help, or contact cloutprofitagency@gmail.com for support. You can also contact us there to request an opt-out.
Costs and availability. Message and data rates may apply under your mobile plan. CloutProfit does not charge a separate fee for these giveaway messages. SMS delivery depends on your carrier, device and service availability. Carriers are not liable for delayed or undelivered messages.
Privacy. Read our Privacy Policy for how we handle phone numbers, messaging preferences and other information. Mobile information and SMS consent are not sold or shared for third-party or affiliate marketing.
Program changes. We may update or discontinue the program and will provide notice where required. Updates do not expand your marketing permissions without the consent required for that change. These SMS terms do not replace any separate agreement for paid CloutProfit services.
